These Terms of Service apply to your access to and use of BEHAVIQ. BEHAVIQ is operated by Petrus Labs Pty. Ltd.. If you use the Service, you agree to these Terms. If you are using the Service for an organisation, you confirm that you can bind that organisation to them.
1. The service
BEHAVIQ is an AI workspace built around chat, knowledge retrieval, optional voice features, and optional web search. Some features are only available on paid plans or under a separate enterprise order form.
If you have a separate written agreement with us, such as an order form, master services agreement, or privacy schedule, that agreement takes precedence over these Terms to the extent of any inconsistency.
2. Safety and professional judgment
BEHAVIQ is designed to support communication, awareness, and decision-making. It can help structure thinking. It cannot see the full context around a real-world situation.
It does not replace professional judgment, training, workplace policy, or specialist advice. Do not use it as the only basis for a safety-critical, legal, HR, medical, or disciplinary decision.
You remain responsible for how you use the output. The Service does not guarantee any particular outcome.
If there is an emergency or someone is in immediate danger, contact emergency services and follow your organisation's procedures.
Organisations must not use the Service as a substitute for training, supervision, incident response, workplace safety procedures, medical care, legal advice, or human review.
3. Eligibility
You must be at least 18 years old to use the Service unless we separately agree a different lawful arrangement with an organisation. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
4. Accounts and workspaces
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You agree to provide accurate information and keep it updated.
- We may suspend or terminate accounts that violate these Terms.
- Workspace administrators are responsible for how their workspace is configured, who is invited, and what data their users upload or submit.
5. Acceptable use
You agree not to misuse the Service. For example, you must not:
- Use the Service for unlawful, harmful, or abusive activities.
- Attempt to interfere with the Service, access data you are not authorised to access, or bypass limits or security controls.
- Upload content you do not have the right to use, including copyrighted, confidential, employee, customer, patient, or workplace materials without the required authority or consent.
- Use the Service to generate or distribute malware, exploit code, or instructions for wrongdoing.
- Use the Service for covert surveillance, unauthorised monitoring, or profiling of people.
- Use outputs as the sole basis for emergency, clinical, mental-health, legal, HR, disciplinary, hiring, termination, or safety-critical decisions.
- Use the Service to diagnose or treat a medical or mental-health condition.
- Use the Service for employment decisions, rostering, discipline, performance management, or individual surveillance unless a separate written agreement and lawful process expressly permit that use.
6. Customer data and content
As between you and us, you keep ownership of the content, files, prompts, and other data you submit to the Service. You give us a limited right to host, process, transmit, secure, and use that data only as needed to provide the Service, keep it working, prevent abuse, comply with law, and provide support.
We do not use your prompts, uploads, or chat history to train our own general-purpose models. If you enable optional web search, the relevant request may be sent to a third party so the feature can work. Other external integrations are disabled unless we explicitly enable them for your workspace.
Workspace administrators can see and manage workspace settings, membership, billing, usage records, API access, knowledge-base files, and audit logs. The ordinary admin tools are not intended to give employers general access to every individual chat. Support, security, legal, abuse, or enterprise agreement processes may involve limited review of content or metadata.
You are responsible for your content, including making sure you have the rights and permissions needed to provide it.
7. AI outputs
The Service generates outputs that may be incomplete, wrong, stale, or inappropriate for your situation. You are responsible for reviewing outputs before relying on them.
8. Billing, subscriptions, credits, and enterprise terms
Some features require an active paid subscription and/or prepaid credits. Payments are handled by third-party payment processors such as Stripe.
- Subscription: billed on a recurring basis until cancelled. Included usage limits apply per billing period.
- Credits: prepaid credits may be consumed by API usage, by usage after included limits are exhausted, or by other paid features where shown in the product or at purchase time. Credits may have restrictions or expiry if stated at purchase time.
- Gift purchases: gift subscriptions or vouchers may be available; they may be non-refundable once issued, subject to applicable law.
Taxes may apply depending on your location. Fees are non-refundable except where required by law or where we say otherwise at the point of purchase.
If you are on an enterprise plan, your order form or invoice terms may deal with pricing, billing cadence, support, and usage limits in more detail.
Enterprise or pilot terms may also cover data processing, subprocessors, participant notice, incident notification, export, deletion, offboarding, service levels, and support contacts. If those written terms conflict with these public Terms, the written enterprise or pilot terms control for that workspace.
9. Third-party services
The Service depends on third-party services such as cloud infrastructure, AI providers, email delivery, monitoring, and payments. If you enable optional web search, parts of a request may be sent to services outside our control.
10. Intellectual property
The Service, including software, design, and branding, is owned by us or our licensors and is protected by applicable laws. You may not copy, modify, distribute, or reverse engineer the Service except as permitted by law.
11. Suspension and termination
We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, pose a security risk, or if required by law. You may stop using the Service at any time. Subscription cancellation is handled through the billing flow we make available to you.
Our Privacy Policy explains how we handle retention and deletion. If you have a separate enterprise agreement covering data export, transition assistance, or deletion on termination, that agreement controls.
Conversation retention settings do not guarantee immediate deletion from every provider, backup, audit, billing, security, or legal record. The Privacy Policy explains the current limits.
12. Privacy and security
Our Privacy Policy explains how we collect, use, and disclose personal information. If we become aware of a data breach that must be notified under applicable law, we will act in line with our legal obligations.
13. Disclaimers
The Service is provided "as is" and "as available". To the extent permitted by law, we disclaim warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data. To the extent our liability cannot be excluded, our total liability for claims relating to the Service will not exceed the amount you paid us for the Service in the 3 months before the event giving rise to the claim.
15. Indemnity
You agree to indemnify and hold us harmless from claims arising out of your misuse of the Service, your content, or your breach of these Terms, to the extent permitted by law.
16. Governing law
Unless a separate written agreement says otherwise, these Terms are governed by the laws of New South Wales, Australia. The courts of New South Wales have non-exclusive jurisdiction over disputes arising out of or in connection with these Terms.
17. Changes
We may update these Terms from time to time. If we do, we will post the updated version here and change the "Last updated" date.
